Board of Directors Meeting

President Pilger called the meeting of the Chimney Safety Institute of America Board of Directors to order at 8:11 am. 

Directors Present: Eric Adair, Jim Bostaph, Chuck Hall, John Pilger, Jeff Schmittinger, Mike Segerstrom, Mark Stoner

Directors Absent: Randy Brooks, John Meredith, Steve Pietila, Bo Tasso

Staff Present:  Melissa Heeke, Ashley Eldridge, Candice Bradbury

Guests Present: Chuck Roydhouse

Pilger opened the meeting with a salute to the flag and a moment of silence.

A motion was made by Mark Stoner and seconded by Eric Adair to approve the minutes of the May 2013 meeting.  Voting in favor: All in favor. Motion carries.

Treasurer’s Report: As presented by Jim Bostaph.  A discussion was held regarding education income and staff salaries.

A motion was made by Mike Segerstrom and seconded by Chuck Hall to accept the Treasurer’s Report as presented. Voting in favor: All in favor. Motion carries.

President’s Report: As submitted by John Pilger.

Interim Executive Director’s Report: As submitted by Ashley Eldridge.

Legal Report: As submitted by Keller & Heckman, LLP.

Committee Reports

-       Affiliated Trades Committee Report as submitted by Steve Pietila

-       Certification Committee Report as submitted by Mike Segerstrom

-       CEU Committee Report as submitted by Bo Tasso

-       CSIA Vendor Committee Report as submitted by Chuck Hall and Jeff Schmittinger

-       Education Development Committee Report as submitted by Chuck Roydhouse

Discussions were held regarding supplier support with marketing the CSIA Certified Chimney Sweep program, outreach to the fire services with information regarding chimney fires, the accepted product program and promotion of the CDET program.

Old Business

-       There is no old business for consideration at this meeting.

New Business

-       Certification competition: A discussion was held regarding potentially expanding the breadth of CSIA’s certification offerings.

-       Trademark Defense Fund Reserves:  A motion was made by Mike Segerstrom and seconded by Eric Adair to increase the Trademark Defense Fund cap by 50% with the intent that any spillover funds from that fund will be redirected to the CCS Marketing Fund.  Voting in favor: All in favor. Motion carries.

-       A motion was made by Jim Bostaph and seconded by Mark Stoner to transfer 60% from the current year’s operating surplus into CSIA’s general reserve fund. Voting in favor: All in favor. Motion carries.

-       A motion was made by Jim Bostaph and seconded by Jeff Schmittinger to use 2014 auction proceeds, as needed, for the development of a technical research document concerning factory-built fireplaces.  Voting in favor: Jim Bostaph, Chuck Hall, Mark Stoner, Jeff Schmittinger, Mike Segerstrom, John Pilger. Abstain: Eric Adair Motion carries.

-       Approval of the FY13-14 budget  
A motion was made
by Mark Stoner and seconded by Jeff Schmittinger to approve the FY13-14 operating budget as presented. Voting in favor:

All in favor. Motion carries.  

-       Determination of next board meeting date
The next meeting will be held online and via conference call at 1pm Eastern on November 6, 2013.

Executive session was called at 9:50am.

Executive session ended and the meeting was called back to order at 10:29am.

A discussion was held regarding sponsored events contracts.

A motion was made by Chuck Hall and seconded by Jeff Schmittinger to adjourn the meeting. Voting in favor: All in favor. Motion carries.

The meeting was adjourned at 10:52 am.
