President Rowell called the meeting of the National Chimney Sweep Guild Board of Directors to order at 2:55 pm ET on 2/24/08. 

Directors Present: Jim Baynes, Jeremy Biswell, Randy Brooks, Kevin DeLucenay, Robert Huta, Bob Priesing, Howard Rowell, Steve Pietila, Stephen Kuber, Diane Pilger, George Stroup, Jay Walker and John Wharton

Directors Absent: None.

A motion was made by Randy Brooks and seconded by Jay Walker to adopt the proposed amendments to the Chimney Safety Institute of America bylaws as presented. Voting in favor: Jim Baynes, Jeremy Biswell, Randy Brooks, Kevin DeLucenay, Robert Huta, Bob Priesing, Howard Rowell, Steve Pietila, Stephen Kuber, Diane Pilger, George Stroup, Jay Walker and John Wharton Voting against: None Motion carries.

RESOLVED, that the Amended Bylaws of the Chimney Safety Institute of America in the form attached as Exhibit A submitted and read at this meeting of the National Chimney Sweep Guild Board of Directors, and the same hereby are, adopted by unanimous vote as and for the Bylaws of the Chimney Safety Institute of America effective April 15, 2008.  

A motion was made by Robert Huta and seconded by Jay Walker to adjourn the meeting of the National
Chimney Sweep Guild board of directors. Voting in favor: All in favor. Motion passes. Meeting adjourned at 9:47 PM on February 29, 2008.
